1. Acceptance of Terms

By accessing or using Flayr Studio ("the Service"), operated by Flayr Labs ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Flayr Studio is an AI-powered platform that provides website building, marketing, advertising, video commercial generation, CRM, social media management, and email marketing tools for small businesses. The Service is offered through subscription plans with AI credit-based usage.

3. Accounts

You must provide accurate and complete registration information.
You are responsible for maintaining the security of your account credentials.
You are responsible for all activities that occur under your account.
You must notify us immediately of any unauthorized use of your account.

4. Subscription Plans and Billing

Plans are billed monthly. Prices are listed on our pricing page.
AI credits are included with each plan and reset monthly. Unused credits do not roll over.
Purchased credit packs are consumed after monthly credits and expire 30 days after purchase.
Feature add-ons are billed monthly at the rate for your plan tier.
All payments are processed securely by Stripe.
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.

5. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws.
Upload content that is defamatory, obscene, or infringes on intellectual property rights.
Attempt to gain unauthorized access to the Service or its systems.
Use the AI features to generate harmful, deceptive, or misleading content.
Resell or redistribute the Service without our written consent.
Circumvent rate limits or abuse the credit system.

6. Intellectual Property

Your content: You retain ownership of all content you create and upload. You grant us a limited license to host and display it as part of the Service.
AI-generated content: Content generated by AI features is owned by you, subject to the underlying AI model providers' terms.
Our property: The Service, its design, code, and branding are owned by Flayr Labs and protected by intellectual property laws.

7. Third-Party Services

The Service integrates with third-party providers including Stripe (payments), Google/Gemini (AI), SendGrid (email), and social media platforms. Your use of these integrations is subject to their respective terms and privacy policies.

8. Limitation of Liability

To the maximum extent permitted by law, Flayr Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Termination

We may terminate or suspend your account at any time for violation of these Terms. Upon termination, your right to use the Service ceases immediately. We will make your data available for export for 30 days after termination.

11. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions.
